– Gontard & Metall Bank-APN-Program for Medisana AG
– APN-preferred allotment ratio of 100:1
Frankfurt am Main, 29th May 2000 – As part of its APN-Program
(‘Aktie-Plus-Neuemission’ or, literally, share-plus-flotation)
Gontard & MetallBank AG offers its shareholders once more the
possibility of a preferred allotment on a forthcoming
flotation. For every 100 shares in Gontard & MetallBank, the
bank’s shareholders have the option to subscribe for one share
in Medisana AG at a placement price yet to be determined by
means of a bookbuilding process.
The official listing of Medisana AG in the SMAX segment of the
Frankfurt stock exchange is planned for 13th June 2000.
In the course of Medisana AG’s flotation approximately 1.4
million no-par value bearer shares out of a total of 3.8
million shares will be placed between 6th and 8th June 2000 by
means of a public offer. 1.2 million shares come from a capital
increase. The underwriting syndicate includes Gontard &
MetallBank (as lead manager), Hamburger Sparkasse and VEM
Virtuelles Emissionshaus AG. Sparkasse Bonn is acting as a
Selling Agent. The placement price is likely to be announced on
12th June 2000. Shareholders of Gontard & MetallBank who are
interested in subscribing for shares by way of the APN-Program
can place their bids between 6th and 8th June 2000 with their
custodian bank by reference to their shareholding in Gontard &
MetallBank.
Medisana AG’s specialises in the health care sector. The
company develops, manufactures and distributes worldwide health
care products for the end consumer. It is also in this segment
that Medisana AG aims to establish the same innovative
leadership which it has in other sub-segments already. As of
this autumn the company will start developing and manufacturing
health care and beauty products for the French Moulinex/Krups
group. In the current year the company anticipates a
significant increase in its turnover to more than DM 50
million, compared with DM 31 million in 1999. At the same time,
earnings before interest and taxes are forecast to reach almost
DM 3.0 million (DM 0.4 million in 1999).
