SZ Testsysteme AG plant Kapitalerhöhung
Amerang, den 13. November 2000. Die am Neuen Markt notierte SZ
Testsysteme AG gab heute Details der geplanten und bereits
angekündigten Kapitalerhöhung bekannt: So sollen noch in diesem
Jahr 1.516.620 auf den Inhaber lautende Stammaktien ohne
Nennbetrag an bezugsberechtigte Aktionäre der Gesellschaft im
Verhältnis 4:1 platziert werden sowie bezüglich nicht ausgeübter
Bezugsrechte öffentlich im Bookbuilding-Verfahren angeboten
werden. Zusätzlich wird ein Greenshoe von 151.662 Aktien aus dem
Bestand von Altaktionären auf dem Kapitalmarkt angeboten.
Die Preisfestsetzung hinsichtlich der öffentlich angebotenen
Aktien soll über ein Bookbuilding-Verfahren erfolgen. Es ist
vorgesehen, dass der Bezugspreis sowie der Verkaufspreis für die
öffentlich angebotenen Aktien voraussichtlich am 5. Dezember
festgelegt wird. Globaler Koordinator ist – wie bereits bei der
Börseneinführung – SG Cowen. Zum Konsortium gehören außerdem die
Nord LB sowie die Berenberg Bank in Hamburg.
Der Erlös der Kapitalerhöhung soll gezielt in das Wachstum der
Firma fließen. So plant das Unternehmen – auch auf der Basis
eines Rekord-Auftragseinganges im abgelaufenen Geschäftsjahr (30.
September 2000) von 58 Mio. Euro – für das laufende Geschäftsjahr
2000/2001 einen Umsatz von 71 Mio. Euro und damit deutlich mehr,
als bei der Börseneinführung prognostiziert. Das im Oktober 1999
errichtete neue Werk am Stammsitz Amerang, das nach früheren
Planungen im Jahre 2003 voll ausgelastet sein sollte, wird
aufgrund der außerordentlich positiven Geschäftssituation und –
prognose bereits im kommenden Jahr die Kapazitätsgrenzen
erreichen.

SZ Testsysteme AG Plans Capital Increase
Amerang, 13th November 2000. Today SZ Testsysteme AG, a company
listed on Neuer Markt, published the following details regarding
its planned and already announced capital increase: Before the
end of this year 1.516.620 ordinary bearer shares without par
value are to be offered 1 : 4 to existing shareholders, and
shares underlying non-exercised rights are to be publicly offered
in a book-building. Additionally, a greenshoe of 151.662 shares
currently owned by existing shareholders will be offered.
The price of publicly offered shares will be fixed as a result of
a book-building process. It is expected that the transaction will
be priced around the 5th December, 2000. SG Cowen will be Global
Coordinator for the transaction, as was already the case for the
IPO. Nord LB and Berenberg Bank will also participate in the
transaction.
Proceeds from the capital increase will be specifically used to
fund further growth of SZ Testsysteme AG. Thus, based on the
record order volume of EUR 58 million in the past financial year
(ending 30th September 2000), the company has planned sales of
EUR 71 million for the current business year 2000/2001. This is
significantly higher than originally forecast at the time of the
IPO. The new production facilities completed in October 1999 at
the Amerang headquarters, which, according to former business
plans, were to provide sufficient capacity until 2003, are
expected to reach full capacity as soon as next year, due to the
very positive current business situation and the forecasts.
