——————————————————————————–
Regensburg, 5 December 2002 – ADORI AG, a Regensburg-based company listed on
Germany’s Neuer Markt, has acquired access:Seven Communications GmbH, which is
domiciled in Frankfurt am Main. The purchase price of 306,000 euros will be paid
in mid-2003. The seller is Satellite Internet Solutions S.A. (SIS), which had
taken over access:Seven from SFM Domestic Investments LLC of the London-based
Soros Fund Management LLC in July 2002 with the aim of integrating into ADORI AG
after implementation of major cost-cutting measures.
Access:Seven operates as a solution provider of prestige broadband communication
services to medium-sized and large companies. The nature of its core business
means it can be optimally integrated into the new overall strategy of ADORI AG.
The know-how that resides in access:Seven is a perfect complement to the
resources already possessed by ADORI AG in pursuing its goal of becoming a
provider of ultra-high-speed wireless telecommunications networks. For example,
access:Seven has a nationwide backbone, a proven Network Operation Centre and a
highly skilled team of developers.
The range of services delivered by access:Seven will add a key element to the
product portfolio offered by ADORI AG. By making this acquisition, ADORI AG is
enhancing its potential to establish itself as an attractive provider of
telecommunications services.

end of ad-hoc-announcement (c)DGAP 05.12.2002
Issuer’s information/explanatory remarks concerning this ad-hoc-announcement:
Access:Seven currently employs a workforce of 55. In 2002, the company generated
revenues of around EUR 9.5 million; a figure of EUR 13.5 million is expected
for the coming year. Since its establishment in February 2000, approx. EUR 80
million in funds has been invested in the company by SFM Domestic Investments
LLC. By taking over access:Seven, ADORI AG is able to utilise an existing and
established infrastructure. This saves ADORI AG the expense of several million
euros that it would otherwise have to invest, as well as the time needed to
build such an infrastructure. The result is a much shorter time to market.
The product portfolio of access:Seven comprises integrated data, Internet and
voice services, in addition to a range of applications. The company’s main focus
is the provision of virtual private networks (VPNs). A virtual private network
(VPN) is a closed, enterprise-wide communication network that may also span
national and international locations. It enables a defined group of users to
communicate securely and privately. With its MPLS-based (Multi Protocol Label
Switching) VPN, access:Seven is able to provide integrated data, Internet and
voice services in a wide variety of applications.
Access:Seven’s 400-strong customer base includes major corporations such as
Ruhrgas AG, Institut Fresenius and TVG Touristik Vertriebsgesellschaft mbH. As a
result of the takeover, access:Seven gains access to additional markets, thus
generating additional impetus for growth. The acquisition thus entails major
synergy benefits for both companies. Further information on access:Seven can be
found at www.access-7.de.
