In order to settle the pending actions of opposition and nullity, Allbecon
AG has agreed on a settlement in court with the minority shareholders, who
have filed actions of opposition and nullity against the shareholders’
resolutions which have been passed at the extraordinary general meeting
held on 30 October 2006 in respect of the merger agreement concluded with
Allbecon Olympia AG (formerly Overdrive Project AG) and the appointment of
the auditor for the closing balance sheet as per 30 June 2006.
On the basis of this settlement in court, Allbecon AG and the minority
shareholders have both declared that the actions of opposition and nullity
are settled.
The company will publish the complete text of the settlement in court
according to sections 248a, 149 para. 2 and 3 AktG (German Stock
Corporation Act) shortly. The company assumes that the merger, which has
been resolved on the extraordinary general meeting on 30 October 2006, can
now be implemented shortly.
