recapitalization to be invalidated

Press Release according to § 15 WpHG

Munich, January 9th, 2008 – AZEGO AG (former ACG Advanced Component Group),
ISIN DE000A0PNL64 (former ISIN DE0005007702) announces that the offer to
subscribe the second tranche of the company`s convertible loan 2007/2001
and to subscribe new shares dated November, 28th, 2007, will be
invalidated.
As it was already announced under No. IV. ('Advice on a possible
invalidation') of the subscription offer for these corporate actions, the
corporate action were only to be executed under the condition that new
shares and/or partial debentures of the convertible loan 2007/2001 would be
subscribed at least in the amount of EUR 500.000,00. This minimum amount
has not been achieved, therefore the offer to subscribe will be
invalidated. All subscriber will automatically receive their respective
subscription amounts from their banks without having to take any actions.
