Two New Members of the Board at Biodata
Change in management starts restructuring process of company.
Lichtenfels, 10 October, 2001. Biodata Information Technology AG has made the
first step to start the restructuring process of the group. Mr Harald Glück and
Mr Christian Kanja have joined the company’s Board of Directors.
Both new Members of the Board know the company in close detail. Before, Harald
Glück and Christian Kanja headed the subsidiary “Biodata Application Security
AG” in Offenbach, Germany, formerly known as “Glück und Kanja Software AG”,
which was acquired by Biodata October 2000. The assignment of Glück and Kanja to
the Board documents the integration of Biodata’s subsidiaries, forming at the
same time a re-orientation of the product portfolio.
As Biodata’s new Chief Operations Officer Harald Glück, aged 34, directs the
company’s organization. Christian Kanja, aged 30, is the group’s new Chief
Technical Officer. Biodata’s previous CTO, Andre Münch, leaves the Board to
become Vice President concentrating on R&D of encryption products in the
important telecommunications segment.
Within a short time, the newly assigned Board will introduce a plan to
restructure the group. Furthermore, an auditor has been authorized to survey
accounting, value adjustment of assets and the group’s financial background. The
auditor will also accompany the restructuring process. After Tan Siekmann’s
resignation from the Board, the position of CEO will currently not be
reassigned.

Issuer’s information/explanatory remarks concerning this ad-hoc-announcement:
In coordination with the Supervisory Board, Biodata’s new Board will present a
plan laying the foundation for operative profitability. One key component is to
turn away from a strategy predominantly directed at expansion and to focus
instead on controlled profit oriented growth. The group will noticeably reduce
costs.
In the first half year of 2001, the company structure was based on annual
turnover exceeding 60 million Euro. The new structure will be adjusted to the
present sales numbers. This requires cost reduction, merging of offices and
possible shutdown of company branches.
The product portfolio will also be revised. Biodata will increasingly focus on
product areas where the company holds unique technological features or a high
market share. Examples of such product lines are segments like
telecommunications security products especially for videoconferencing. Only
recently, Biodata extended its international market position by securing all
patents, technologies, R&D documents including trademark and rights of use of
the formerly Berlin-based Dica company. The firm specialized in ISDN encryption
and secure email technology.
