The Management Board of Comarch Software und Beratung AG (ISIN:
DE000A1KRMR8 and DE000A1KRMU2) has today, with the agreement of the
Supervisory Board, approved an increase in share capital in line with the
resolution passed at the general meeting of 08.06.2011. Under TOP 6, the
general meeting resolved to increase the company's share capital, which had
been reduced to EUR 2,160,000.00, against cash contributions of up to EUR
4,320,000.00 by means of the issue of up to 4,320,000 new no-par value
bearer shares up to a maximum of EUR 6,480,000.00, whereby the shareholders
will be granted subscription rights to the new stock corresponding to their
share of the reduced capital stock of EUR 2,160,000.00 with one old share
entitling the holder to two new shares.

Shareholders will be granted subscription rights as follows: the shares are
to be subscribed by Baader Bank, Unterschleißheim, as the issuing company
in accordance with § 186 Section 1, Sentence 1 German Stock Corporation Act
(AktG), which shall have the obligation to offer the stock to shareholders
in proportion to their existing shareholdings at a subscription price of
EUR 1.70. The new shares have full dividend entitlement as of 1 January
2011. The period for acceptance of the subscription offer will run probably
from 18.08. to 31.08.2011. The Managing Board will, at its own discretion,
dispose of any shares of the company not placed within the framework of the
subscription offer by placing them with existing shareholders at the
subscription price, namely via Baader Bank as the credit institution
charged with handling the issue. The main shareholder of the company,
Comarch AG, Dresden, has declared its willingness to subscribe to any
shares not taken up within the framework of the rights offer, in full or in
part at the subscription price that has been fixed.
