To improve the financial situation at the company over the long term, the
Management Board of Comarch Software and Beratung AG, Munich, (ISIN:
DE0007249104 and DE000A0DM546) today decided to propose a simplified
reduction in capital stock from EUR 6,480,000.00 to EUR 2,160,000.00 (i.e.
in the ratio 3:1) and a subsequent cash capital increase of up to EUR
4,320,000.00 to the general meeting to strengthen the company's equity
capital. Both measures are connected to the loss announced pursuant to
Section 92(1) of the German Stock Corporation Act in the ad-hoc
announcement of April 20, 2011. The Management Board will propose these
capital measures to the extraordinary general meeting, which will also be
notified of the loss pursuant to Section 92(1) of the German Stock
Corporation Act. The company's Management Board has also today decided that
the extraordinary general meeting will cover all agenda items originally
planned for this year's ordinary general meeting. The invitation
announcement for this extraordinary and ordinary general meeting will be
published in the electronic version of the German Federal Gazette in the
coming days together with all agenda items.
