Today, Comarch AG in Dresden notified the Board of Management of Comarch
Software und Beratung AG (subsequently referred to as 'Company') that they
fixed the cash compensation for transferring shares from minority
shareholders of the Company to Comarch AG, being the main shareholder, at
EUR 2.95 per no-par value share of the Company registered in the name of
the holder in compliance with the procedure according to Sections 327a et
seq. AktG (German Stock Corporation Act). Hence, Comarch AG confirms and
substantiate its demand according to Section 327a Paragraph 1 AktG of April
10, 2012.

The transfer of shares from minority shareholders requires the consent of
the General Meeting of the Company. A resolution on the transfer shall be
adopted in the Annual General Meeting still to be called by the Company,
which will presumably take place on August 13, 2012.
