Ad-hoc-announcement transmitted by DGAP.

Eislingen, April 23, 2003 : DR. SCHELLER COSMETICS performed moderately well
during the year 2002. Overall international sales increased, but domestic
business declined slightly due to the widespread purchasing reticence which
afflicted consumers here. Especially because foreign turnover rode the wave of
above-average growth in Hungary, Czech Republic and Switzerland, foreign sales
increased to comprise 23% of the company’s total turnover (compared to 22% in
2001). Total net sales by DR. SCHELLER COSMETICS AG during the 2002 fiscal year
amounted to EUR 80,090 million. This figure is only slightly less than last
year’s record sales, which amounted to EUR 81,426 million.
The Manhattan Cosmetics trend brand generated EUR 48,891 million or 61% of the
sales revenues in 2002, compared to 62% in 2001 (EUR 49,937 million). The
percentage earned by the durodont medical product and other brands traded in the
tooth and mouth-care sector increased to 28.1% (compared to 26.8% in 2001). The
percentage earned by Apotheker Scheller brand skin-care products remained
unchanged in 2002: as they did in 2001, sales of these products again generated
11% of the overall turnover.
Annual net profit declined by EUR 1,271 million to a EUR 1,034 million during
the 2002 fiscal year. This decline was primarily due to one-time-only
restructuring of the MANHATTAN and Apotheker Scheller – Das Naturkonzept
assortment. Re-launches and the introduction of new products caused greater
reductions in income and increases in costs of material totaling EUR 2.685
million.
The company’s operating income totaled EUR 1,632 million (compared to EUR 3,665
in 2001).
Depreciations increased by EUR 750,000 to EUR 3,403 million. Cash flow from
ordinary operating activities amounted to EUR 4,562 million (compared to EUR
12.870 million in 2001) thus decreasing by EUR 8,308 million. The enterprise
employed 422 individuals (compared to 416 in 2001).
At the shareholders’ meeting scheduled for June 11, 2003, the board of
management and the board of directors will recommend the distribution of a
dividend in the amount of EUR 0.18 (compared to the previous year’s dividend of
EUR 0.30). This corresponds to a dividend yield of 4%.
The management anticipates significant growth in both sales and profits in 2003.
