Capital increase planned at Generali Holding Vienna AG
308,000 new non-par-value unit shares (Stückaktien) are to be issued to finance
part of the group’s takeover of Zurich subsidiaries.
On 9 April 2002, the Managing and Supervisory Boards of listed group parent
Generali Holding Vienna AG, Vienna, decided to carry out a capital increase.
The issue of 308,000 new non-par-value unit shares at a price of EUR 150 will
increase the company’s capital by EUR 2,238,323.29 million from EUR
55,958,082.31 to EUR 58,196,405.60. That will constitute part of the capital
increase authorized by the Ordinary General Meeting of Shareholders on 17 May
2000.
To give a subscription ratio of 25:1, the company has withdrawn 22 of its own
non-par-value unit shares from its ongoing share buyback scheme and destroyed
them.
The new non-par-value unit shares will entitle their holders to a share in
profits as of 1 January 2002.
The proceeds from the issue will be used to finance part of the takeover of
Zurich Group insurance subsidiaries in Poland, Slovakia and Hungary, of the
insurance portfolio of a branch in Prague, and of a pension fund in Warsaw (as
announced on 26 March).
Generali Holding Vienna AG will thus be offering its shareholders an attractive
opportunity to participate in the group’s expansion and future profits in
Central and Eastern Europe.
The Generali Holding Vienna AG share is traded in the Vienna stock exchange’s
Prime Market Segment and is one of the high-turnover stocks that make up the ATX
(Austrian Traded Index).
