The issuer is solely responsible for the content of this announcement. ——————————————————————————– – Net loss exceeds expectations – Capital increase out of Authorised Capital – Positive outlook for the current business year Frankfurt/Main, 14 December 2001 – As a result of significant loan losses, and losses on its portfolio of shareholdings, Gontard & MetallBank AG (German Securities ID Code: 589 050) has posted a higher than expected deficit for the 2000/2001 business year ended on 30 September 2001. According to IAS accounting rules, the loss after taxes amounts to Euro 50,3 million. This means that the banks liable capital, as defined by the German Banking Act, has diminished to Euro 40 million. In accordance with regulatory restrictions, the Board of Managing Directors will consolidate the bank’s lending business, and will reduce the risk-weighted assets. To strengthen its equity capital base, Gontard & MetallBank AG intends to conduct a rights issue, in the very near future, in the nominal amount of approx. Euro 15 million. The new shares will be offered to all of the bank’s existing shareholders. The bank’s largest shareholder, Gold-Zack AG, has already indicated its willingness to participate in line with its stake currently held. Gontard & MetallBank AG has been operating very successfully during the first two months of the 2001/2002 business year; among other factors, this was already attributable to cost-cutting measures, and to the bank’s changed focus with respect to its range of products and services. On this basis, the bank expects the results for the current business year to be clearly positive.
