The issuer is solely responsible for the content of this announcement. ——————————————————————————– Roland Berger confirms reorganicational capacity and worthiness of m+s Elektronik AG. / Despite a decline in turnover and result for the current fiscal year 2001/2002 Roland Berger forecasts a positive developement of the company in the long term. / Banks maintain the granted creditlines of EUR 24.2 million. Niedernberg near Aschaffenburg, 18 December 2001. The new m+s Board, Dipl.-Ing. Heinz-Peter Goebbels, operating as of 19 November 2001, as well as Dr Udo Hamm, operating as member of the m+s Board as of first august 2001, presented the new plan for turnover and result for the current fiscal year ending 30 April 2002. The new plan results in a probable decline in turnover of EUR 667.6 million to EUR 532.1 million. The operating profit (EBIT) deteriorates from – EUR 27,7 million about EUR 8.5 million to – EUR 36.2 million. The new prognosis reflects clearly the difficult market situation and takes into account restructuring measures amounting to up to EUR 11 million. On the basis of the submitted restructional concept of the renowed consulting agency Rolang Berger & partners the m+s Board as well as Roland Berger juge the reorganicational capacity and worthiness as positive. A positive result is already forcasted by Roland Berger for the coming fiscal year 2002/2003. The implementation of the concept shall be made sure by asset sales. On the basis of the submitted restructuring concept the financing banks agreed in a meeting on 17 December 2001 to maintain the current creditlines of EUR 24.2 million. The discussions with the credit insurances, which equally attended the meeting on 17 December 2001, have not yet been finalised. The half-year figures will be submitted in time within December 2001.
