Capital Increase of PROUT Aktiengesellschaft, Darmstadt (ISIN DE000A0BVXK3)

Darmstadt, November 19, 2007 On October 29, 2007, the annual shareholders’
meeting of PROUT Aktiengesellschaft, Darmstadt, resolved amongst others, to
increase its subscribed capital of EUR 3.240.000 for a cash contribution up
to at most EUR 810.000 to then at most EUR 4.050.000, thereby issuing up to
810.000 new bearer non-par value shares.

Exploiting partly the authorisation mentioned above, on November 16, 2007,
the Board of PROUT AG, thus in a same-day accordance with the Supervisory
Board, decided on increasing the company’s subscribed capital from EUR
3.240.000 up to at most EUR 648.000 to then at most EUR 3.888.000 for a
cash contribution and by issuing up to 648.000 new bearer non-par value
shares.

The new shares will be issued at a price of EUR 1.50 per share and will be
offered to the shareholders in a subscription ratio of 5:1 (five old shares
: one new share). The shareholders have an immediate subscription right.
The subscription right for fractional amounts was excluded. The new shares
not drawn by the shareholders will be offered to selected investors within
the course of a privat placement.

The subscription period for the capital increase is scheduled from November
21, 2007, to December 5, 2007.

The funds raised hereby are intended to enable PROUT AG to expand further
and existing investments.
