The issuer is solely responsible for the content of this announcement. —————————————————————————— Tarkett AG Nachtweideweg 1-7, 67227 Frankenthal ISIN DE 000 700 200 8 Frankfurt Stock Exchange, Official Market (General Standard) Tarkett S.A. intends a squeeze-out at Tarkett AG Tarkett S.A., Nanterre, France, which as principal shareholder directly and indirectly holds approximately 97.15 % of the shares in Tarkett AG officially transmitted to the Management Board of Tarkett AG, on 28 February 2005, its formal request to bring about a resolution in the ordinary shareholders’ meeting of Tarkett AG scheduled for 20 June 2005 according to which the shares of the minority freefloat of Tarkett AG shall be transferred to Tarkett S.A. against granting of adequate cash compensation. Furthermore, Tarkett S.A. disclosed that it intends to offer adequate cash compensation in respect of each share up to an amount corresponding to the weighted average stock exchange price of Tarkett AG shares in the three month period preceding the publication of this ad-hoc notification in accordance with WpÜG offer regulations (WpÜG-Angebotsverordnung). Based on the most recent information obtained from the German Federal Financial Supervisory Authority this weighted average stock exchange price amounts to EUR 16.17 as of 18 February 2005. In order to determine the final amount of adequate cash compensation, Tarkett S.A. will commission an expert auditor to conduct an evaluation of the company which evaluation will then be confirmed by an independent audit of a court- appointed expert auditor.
