Ad-hoc-announcement transmitted by DGAP.

– Increase in adjusted revenues: +7%
– EBIT of EUR 19,2 million affected by one-off effects
– Resolute focus on sectors with strong margins
Cologne, 26 August 2002 In the first half of 2002, the VIVA Group has managed
to generate revenues to the sum of EUR 54.7 million (pro-forma figure last year:
EUR 57.4 million). In this pro-forma comparison, it should be taken into
account that last years figures included sales from BRAINPOOLs print activities
(EUR 4.2 million) and from the two VIVA sectors VIVA ZWEI and Internet amounting
to EUR 2.1 million. This adjustment has resulted in an increase in revenues of
7%.
The EBITDA totals to EUR 26.1 million (EUR -9.4 million last year) and includes
EUR 29.7 million for the selling of a 49% stake in VIVA Plus Fernsehen GmbH to
AOL Time Warner. In the first half-year, EBIT adds up to EUR 19.2 million
(against EUR -16.4 million last year) and was severely affected by one-off
effects. The non-recurring charges announced on 30 July arising from write-offs
of the BRAINPOOL holdings in WESTKA and Grégoire Furrer Productions (EUR 3.3
million) and to provisions made for the relocation of the Group headquarters
(EUR 3 million) negatively impacted the result. The retrograde advertising
market had its effects on the revenues and earnings of the VIVA music TV
segment. This meant that, although the revenues in the branded goods industry
increased by 2.3%, it was not possible to compensate for the shortfalls caused
by the music industry. Group earnings amounted to EUR 11.0 million (against EUR
-8.8 million last year), equivalent to EUR 0.45 per share.
These one-off effects and the persistently taut advertising market had already
occasioned the Managing Board to revise their forecasts for the year 2002 to
revenues of EUR 109 million (instead of EUR 125 million) and an EBIT of EUR 15
million (against EUR 37 million) on 30 July. A programme of extensive cost
reductions and a resolute focus on sectors offering strong margins are measures
intended to ensure future profitability.
The number of employees (full-time equivalents as at 30.06.2002) is 714. As at
30.06.2002 the company had at its disposal a comfortable cushion of cash and
cash equivalents (EUR 50.6 million), which is also available for further
expansion stages.
