Management Data fusioniert mit dem britischen Unternehmen
OmniBus Systems Ltd. Expansion ins TV-Geschäft
Hamburg (4.5.00). Der deutsche Marktführer für Mediensoftware,
die Management Data AG, Hamburg, fusioniert mit OmniBus Systems
Ltd., Loughborough (Großbritannien). Management Data, zu deren
Kunden der Bayerische Rundfunk, die BBC und Radio Hamburg zählen,
wird vorbehaltlich der Zustimmung der Hauptversammlung und des
Aufsichtsrats 100% der Anteile übernehmen. Der Kaufpreis von
OmniBus Systems beträgt ca. 11 Mio. GBP. 80% des Kaufpreises
wurden in Aktien und 20% in cash bezahlt. OmniBus Systems, die
mit Ihren Produkten die englische BBC und INT, das schwedische
TV4, Norwegens NRK und Südafrikas SABC ausrüsten, zählt mit der
gleichnamigen Produktreihe für TV-Studio-steuerungstechnik
weltweit zu den bedeutendsten Providern. Der erwartete Gesamt-
umsatz der erweiterten Management Data-Gruppe für das Geschäfts-
jahr 2000 beträgt über 60 Mio. DM, wobei für OmniBus Systems
nur ein Rumpf-geschäftsjahr von neun Monaten berechnet wird.
Im Vergleich zum Umsatz des Jahres 1999 bedeutet dies eine
Steigerung der Gesamtlestung der Gruppe um mehr als 300 %.
Management Data erwartet für das Jahr 2000 auf Grund der hohen
Abschreibungen durch die Fusion ein ausgeglichenes Ergebnis. Vom
Jahr 2001 an wird die Management Data Gruppe Gewinne erzielen.
OmniBus Systems wird zukünftig als eigenständige Division in der
Management Data Gruppe arbeiten. An ihrem Stammsitz beschäftigt
OmniBus Systems zur Zeit 120 Mitarbeiter, weitere 15 Mitarbeiter
sind in den USA beschäftigt. Auf internationaler Ebene kooperiert
OmniBus Systems als strategischer Partner mit Tektronix, Sony und
Quantel, die zum Teil als Lizenznehmer die OmniBus Produkte
einsetzen.
Mit der Produktreihe von OmniBus Systems- einer integrierten
TV-Studio-steuerungstechnik – strebt Management Data die weltweite
Marktführerschaft für IT-Lösungen in der Medienbranche an. “Mit dem
Einstieg bei OmniBus spielen wir ab sofort eine bedeutende Rolle
im internationalen Medien-Geschäft. Im Rahmen unseres Unternehmens-
konzeptes als Mediensystemhaus für Radio, Internet und TV ist die
Übernahme von Omnibus die optimale Ergänzung, und das bei einem
erwarteten payback der Investition innerhalb der nächsten fünf
Jahre”, sagt Holger Antz, Vorstandsvorsitzender und Gründer der
Management Data Gruppe. Die Fusion stärkt die Position von Management
Data insbesondere auf dem europäischen und nordamerikanischen Markt,
wo OmniBus Systems bereits für die BBC, MTV Europe, Sky, ABC und
viele andere Unternehmen arbeitet. Zukünftig können Radio- und TV-
Lösungen aus einer Hand angeboten werden. Es entstehen Synergien
im Bereich der Automatisierung, von denen TV- und Radiosender
profitieren werden.
Management Data merges with British OmniBus Systems Ltd.
to expand into TV sector
Hamburg (05/04/2000). Management Data AG, Hamburg, Germany s
leading producer of media software, has merged with OmniBus
Systems Ltd., Loughborough Leicestershire. Recent customers of
Management Data include Bayerischer Rundfunk, the BBC and Radio
Hamburg. Upon having been affirmed at the general annual meeting
and by the the board of directors the company is to acquire
100% of the share capital of OmniBus Systems. The price will be
paid 80% in shares and the balance in cash, representing a purchase
value of about PDS 11 Mio. OmniBus Systems among whose customers
are the UK s BBC and ITN, Sweden s TV4, Norway s NRK and South
African s SABC is one of the most important providers for TV studio
automation solutions worldwide. Total sales for the coming
financial year are expected to reach over DM 60 Mio, which will
include 9 months of OmniBus s revenues. In comparison with the
previous year, this represents an increase of 300% for both companies
in 2000. Based on the high depreciation occasioned by the merger,
Management Data is expecting a balanced result for the year 2000,
although the individual companies will make a profit. As of 2001,
the Group expects to achieve sustained profitability. OmniBus Systems
will function as the fifth independent division within the Management
Data Group. Based in Loughborough, UK, OmniBus Systems currently has
a staff of 120, with an additional 15 employees in the United States.
OmniBus Systems is cooperating with Sony and Quantel as strategic
partner and licensee on the international level.
The acquisition of OmniBus Systems, the integrated TV studio
control equipment, is a significant step towards Management Data s
objective of achieving worldwide market leadership in the area of
IT solutions for the media industry. With the merger of OmniBus we
will play an important role in the international media business.
Based on our corporate concept of becoming a media system house for
radio, Internet and television, Omnibus represents an ideal addition,
with an expected payback of the investment within in the next five
years”, according to Holger Antz, CEO and founder of the Management
Data Group. The merger will strengthen the position of Management Data,
especially on the European and North American markets, where OmniBus
is already active for such clients as BBC, MTV Europe, Sky and ABC.
The new one-stop-shop of radio and TV solutions will spawn synergies
in the area of automation for the direct benefit of Management Data s
clients in TV and radio broadcasting.
