The issuer / publisher is solely responsible for the content of this announcement. --------------------------------------------------------------------------- BIOPETROL INDUSTRIES AG: Acquisition of Dutch Biodiesel BV - Dutch Biodiesel has a flexible 250,000 t/a biodiesel production facility in Rotterdam, using multiple feedstocks - Combined business creates one of the largest biodiesel producers in Europe - Acquisition will further strengthen BIOPETROL's position across the European market Baar, 24 November 2010: The management of BIOPETROL INDUSTRIES AG has signed an agreement to acquire the entire issued share capital of Dutch Biodiesel BV. Existing shareholders in Dutch Biodiesel will receive 27,082,855 BIOPETROL shares out of a capital increase in exchange for their holdings. The transaction is subject to shareholder approval and the customary closing conditions being satisfied by BIOPETROL and Dutch Biodiesel shareholders. Dutch Biodiesel shares are held by Glencore (60%) and Argos Groep BV (40%). Following the satisfaction of these conditions, it is anticipated that the transaction will close before the end of December 2010. To underline their commitment, Argos and Glencore combined will buy additionally 7,433,499 existing shares of BIOPETROL INDUSTRIES AG from previous majority shareholders. As a part of the transaction, BIOPETROL will transfer current operations from Dutch Biodiesel to existing BIOPETROL sites in Rotterdam. These actions will create opportunities for improved logistics and operational synergies, providing enhanced services to customers. The combined future use of all sites will continue to be evaluated. A formal invitation to an extra-ordinary meeting of the shareholders of BIOPETROL will be published in the coming days. The new shareholder structure and combined company profile of BIOPETROL will be placed on the company's website www.biopetrol-ind.com after the acquisition and the registration of the capital increase.
