The issuer is solely responsible for the content of this announcement. ——————————————————————————– Coherent Holding GmbH announces decision to launch a public tender offer for all outstanding shares of Lambda Physik AG Management Board and Supervisory Board of Lambda Physik AG support the tender offer Göttingen/Germany, April 22, 2003 Coherent Holding GmbH, a subsidiary of Coherent Inc., California, USA and majority shareholder of Lambda Physik AG, announced today its decision to launch a public tender offer for all outstanding shares of Lambda Physik AG for a purchase price of Euro 9.25 per Lambda Physik share. The tender offer will be contingent upon the bidder obtaining 95 percent of all shares of Lambda Physik AG (inclusive of all shares already held by Coherent Holding GmbH). The offer document with details on the offer will be published within the legal time limits. Management Board and Supervisory Board of Lambda Physik AG resolved in separate resolutions to support the tender offer. Dr. Dirk Basting, CEO of Lambda Physik, who holds 10.26 percent of the shares, announced that he intends to accept the tender offer for all his shares. Additionally, Dr. Basting informed the company about his resignation from the office of CEO of Lambda Physik, when the quorum of 95 percent mentioned above is reached or when his shares are transferred to Coherent. Dr. Basting will furthermore support Lambda Physik in an advisory function.
