Rösch AG shows interest in a co-operation with Equidyne Corporate-news announcement sent by DGAP. The sender is solely responsible for the contents of this announcement. ——————————————————————————– On Friday, 16 August 2002 the managing board of Rösch AG once again requested the management of Equidyne Corporation, San Diego, to discuss a merger of the two companies. Rösch AG proposes taking over all Equidyne shares and in exchange to transfer so-called American Depositary Receipts which represent one Rösch share to the Equidyne shareholders. A first indication of Rösch AG for the price of one Equidyne share is US$ 0.90. In addition to the approval of the shareholders the conditions for realisation of the merger include a consensual agreement with the management of Equidyne Corp. and the positive result of an intensive due diligence review. The managing board of Rösch AG sees in a merger of the two companies the opportunity to release well-developed synergy potentials from which both companies’ shareholders can benefit considerably. The bringing together of Equidyne’s U.S. market potential and cash reserves on the one hand and the promising prospects of the new INJEX technologies (such as INJEX – OneWay) developed by Rösch on the other should create an increase in value for the shareholders. Also, in the production and research sector significant cost saving can be achieved by consolidating resources. Potential partners from the pharmaceutical and medical technology industry can thus be provided with a global platform for joint marketing again greatly improving the possibility of entering these kinds of partnerships on attractive terms. Prof. Weidler, CEO of Rösch AG said: ‘We see a merger of the two companies as a logical step which will result in a considerable increase in value for the shareholders.
