Theolia raises €9.2 million under a Share Option Financing Programme
(PACEO*) backed by Société Générale
Theolia today announced it has raised 9,205,326 € through the issue of
757,640 new shares. The funds raised from the share issue will finance a
part of the recent acquisition of Natenco, a leading independent wind
energy operator based in Germany.
The issue, fully underwritten by Société Générale, is part of a
multi-tranche Share Option Financing Programme (PACEO) signed between
Theolia and Société Générale following the approval by the shareholders at
the AGM on October 13th 2006. The new shares were issued at a price of
12.15 €.
Theolia’s authorized share capital now stands at €19,799,813 representing
19,799,813 shares (ISIN FR0000184814).

Natenco’s primary focus is to develop, build and operate turnkey wind
projects for third parties. It currently manages 140 MW for private clients
Theolia will benefit from Natenco’s undisputed expertise in this area. In

PACEO
*PACEO (Programme d’Augmentation de Capital par Exercice d’Options) is an
equity financing solution created by Société Générale, which offers
companies an additional optional source of finance thanks to a put option
granted by Société Générale. Its economic and financial impact is the
equivalent of a capital increase, while offering the flexibility similar to
the characteristics of a confirmed credit line. The subscription price for
shares at each share issue reflects the current stock exchange price. The
programme is only activated on the issuer’s request. Société Générale has
previously arranged and completed several operations of this type in France
and Europe.

Euronext Paris (Eurolist B) under the code TEO, Theolia opened its first
wind park in France in January 2006, at Fonds de Fresne in the Somme
