Pursuant to section 27a(1) WpHG Baader Bank AG, Unterschleißheim, Germany,
Mr Uto Baader, Munich, Germany, Baader Verwaltungs GmbH, Munich, Germany,
Baader Immobilienverwaltungs GmbH & Co. KG, Unterschleißheim, Germany and
Baader Beteiligungs GmbH, Unterschleißheim, Germany (in the following
together called ,Reporting Persons') informed us regarding their voting
rights announcement pursuant to Article 21, Section 1 WpHG and Article 22,
Section 1, Sentence 1, No. 1 WpHG and their exceeding the threshold of 50%
of their shareholdings in Comarch Software und Beratung AG, München, that
1. the investment is not used to realize strategic targets or trading
profits.
2. the Reporting Persons do not intend to obtain further voting rights by
acquisition or any other way within the next twelve months.
3. the Reporting Persons do not intend to influence the composition of the
issuers' administration, management or supervisory board.
4. the Reporting Persons do not intend to change the capital structure of
the company, especially with regards to the ratio of internal/outside
financing and the dividend policy.
5. the voting interests of the Reporting Persons in Comarch Software und
Beratung AG accrued in connection with the issue of securities by Baader
Bank AG where Baader Bank AG supported the capital increase of Comarch
Software und Beratung AG and, in doing so, achieved a share percentage
totalling 65.36% by 16 September 2011. After the allotment of the shares to
the shareholders proper of Comarch Software und Beratung AG, the voting
interests of the Reporting Persons will decrease below the threshold of 3%
again. The capital transaction was funded with outside funds by way of
payment of the equivalent value by the subscribing shareholders.
