DAS WERK AG on the Road to Global Expansion
Merger with Internationally Operating Enterprise En Efecto from Barcelona
Business Plan Adjusted: Target Figures Set Higher
DAS WERK AG is merging with the En Efecto Group of Barcelona. The Spanish
Group with its 180 employees specializes in digital post-production and
animation, is the market leader on the Iberian Peninsula, and has branch
offices in Canada (Montreal) and Korea (Seoul). En Efecto will continue to
exist as a Group under the holding company, DAS WERK AG. With this merger,
DAS WERK AG will establish itself as a global player in the Champions League
of digital film and video processing. The merger should be completed in
the 3rd Quarter 2000.
With the merger, DAS WERK AG is taking the first step towards their announced
course of internationalization. The merger will strengthen DAS WERK AG
strategically in the following way:
Cine Efecto, which specializes in motion picture processing, is a congenial
partner for Das Werk that will make the acquisition of large and international
film projects easier. The Spanish co-production partners of Road Movies, a film
production company belonging to DAS WERK AG, will now have processing services
available in Spain.
In the field of DVD mastering, Cine Efecto belongs to the leading companies on
the Spanish market. Starting immediately, Das Werk is now able to offer the
know-how of the growing market for DVD in Germany as well.
The company Crater Software of Montreal/Barcelona, which specializes in the
development and distribution of animation software, provides Das Werk with the
opportunity to market their own developed software on the world market of
post-productions.
The animation studio Tons of Toons of Gerona, which specializes in
television series, and Spako Media of Seoul will be able to support the
realization of cartoon projects designed for the international market.
One example would be the project “Loisel’s Peter Pan” which is currently being
developed by Das Werk and Trixter Film. Spako Media is a joint venture of
which En Efecto holds 45 percent of the shares.
In Spain, Video Efecto has the same structure and holds the same market
position as the Das Werk companies in Germany. The merger will expand personnel
resources concerning the number of highly-qualified, creative video processing
specialists and increase the company’s flexibility.
The extension of the European market leadership creates buying advantages for
the Group among hardware and software suppliers.
The En Efecto Group plans on achieving sales revenues in the amount of 25
milllion Euro in the current year. For 2001, sales revenues of 31 million
Euro are planned.
Due to the merger with En Efecto and the participation in FFP Media published
on June 2, the target figures must be adjusted:
Total Group revenues are expected to grow to 86.9 million Euro this year. This
corresponds to a growth projection of 129 percent as compared to 1999. The
forecasted operating result is set at 14.9 million Euro, which corresponds to
a growth of 297 percent. After the planned capital increase of 1.1 million
shares, this corresponds to earnings per share of 0.65 Euro (plus 261 percent
as compared to the result in 1999 of 0.18 Euro). Earnings per share of 1 Euro
are planned for 2001.
By the end of the year, DAS WERK AG will be represented in four other European
countries: branch offices are planned in France, Italy, The Netherlands and
Switzerland, which will be realized with acquisitions, shareholding and new
foundations.
The board of directors of DAS WERK AG will provide more detailed statements on
the merger with En Efecto during DAS WERK AG’s general meeting of shareholders
held today, June 5, 2000. Upon conclusion of this meeting at aproximately 1pm,
representatives of Das Werk and EnEfecto will be available to answer questions.
The general meeting of shareholders will begin at 10:30 am at the
CongressCenter Messe, Frankfurt am Main.
