Umtausch in Aventis Aktien erfolgreich:
Hoechst Aktionäre tauschen mehr als 96 Prozent ihrer Aktien
Frankfurt und Paris, 29. November 1999 — Im Rahmen des
Umtauschangebots in Aventis Aktien haben die Aktionäre der
Hoechst AG zwischen dem 26. Oktober und 26. November 1999
insgesamt mehr als 96 Prozent der Hoechst Aktien zum Tausch
eingereicht. Dabei sind alle an der New York Stock Exchange
notierten American Depositary Shares (ADS) der Hoechst AG
berücksichtigt. Die Einbringung der Gallus
Vermögensverwaltungsgesellschaft, die für die Kuwait Petroleum
Corporation (KPC) 25,8 Prozent der Anteile an Hoechst hält, ist
ebenfalls in diese Umtauschquote eingerechnet. Rhone-Poulenc und
Hoechst haben bekanntgegeben, das Umtauschangebot nicht zu
verlängern.

überschritten und freuen uns sehr über die große Zustimmung zu
dem Umtauschangebot. Wir danken den Aktionären der Hoechst AG für

Fourtou, Vorsitzender des Vorstandes der Rhone-Poulenc S.A.
Die Hoechst Aktionäre erhalten für jeweils 1,333 zum Tausch
eingereichte Hoechst Aktien eine neue Aventis Aktie. Zudem wird
den Aktionären auf der Hauptversammlung der Hoechst AG am 9.
Dezember 1999 die Auszahlung der Sonderdividende in Höhe von 2,72
Euro plus einer Steuergutschrift von rund 1,17 Euro je Hoechst
Aktie zur Abstimmung vorgelegt. Die Ausschüttung der Dividende
ist nach dem Beschluss der Hauptversammlung, am 10. Dezember,
vorgesehen.
Am 15. Dezember entscheiden die Aktionäre von Rhone-Poulenc auf
einer Hauptversammlung schließlich über die Kapitalerhöhung zur
Ausgabe junger Aktien für die zum Tausch eingereichten Hoechst
Aktien. Gleichzeitig entsteht damit die Aventis durch die
Umbenennung von Rhone-Poulenc, und das neue Unternehmen verlagert
seinen Sitz nach Straßburg.
Die Aktien der Aventis sollen zum ersten Mal am 20. Dezember
unter dem gemeinsamen Kürzel “AVE” an den Börsen in Paris und
Frankfurt sowie in Form von American Depositary Shares an der New
York Stock Exchange gehandelt werden.
Durch den Zusammenschluss von Hoechst und Rhone-Poulenc zu
Aventis soll ein international führendes Unternehmen in den
Arbeitsgebieten Gesundheit und Ernährung entstehen. Das neue Life
Sciences-Unternehmen hätte 1998 mehr als 90.000 Mitarbeiter
weltweit beschäftigt und einen Pro-forma-Umsatz von mehr als 21
Milliarden Euro erzielt.

Aventis: Exchange offer for Hoechst shares succeeds In
total more than 96 percent of Hoechst shares exchanged
Frankfurt and Paris, November 29, 1999 — More than 96
percent of Hoechst AG’s shares were tendered for shares
in the new Aventis during the exchange offer which was
launched by RhonePoulenc S.A. on October 26 and which
ended on November 26, 1999. This includes all American
Depositary Shares (ADS) of Hoechst listed at the New
York Stock Exchange as well as the contribution of
Gallus, the company which holds Kuwait Petroleum
Corporation’s (KPC) 25.8 percent stake in Hoechst.
Rhone-Poulenc and Hoechst announced that the exchange
offer period will not be extended.

goal and would like to thank the Hoechst shareholders

Aventis,” said Jürgen Dormann, Chairman of the Board of
Management of Hoechst and Jean-Rene Fourtou, Chairman
and Chief Executive Officer of Rhone-Poulenc.
For every 1.333 shares tendered, Hoechst shareholders
will receive one new share in Aventis. At the Annual
General Meeting of Hoechst AG on December 9, 1999,
Hoechst shareholders will vote on the distribution of
the proposed special dividend which amounts to euro 2.72
per Hoechst share plus a German tax credit of around euro
1.17 for eligible shareholders. If approved,
distribution of the special dividend will take place
the following day, December 10.
On December 15, 1999, the shareholders of RhonePoulenc
will vote on the capital increase required for the
issuance of new Aventis shares to Hoechst shareholders.
If approved, Aventis will become a reality and at the
same time, Rhone-Poulenc will change its name to
Aventis and move its headquarters to Strasbourg.
All shares of Aventis are to begin trading on December
20, 1999 under the new common symbol “AVE” on the stock
exchanges in Paris and Frankfurt as well as on the New
York Stock Exchange in the form of American Depositary
Shares.
The merger of Rhone-Poulenc (NYSE: RP) and Hoechst
(NYSE: HOE) into Aventis would create a leading global
life sciences company with more than 90,000 employees
worldwide and pro forma sales of over euro 21 billion in
1998.
