The issuer has the sole responsibility of this announcement. ——————————————————————————– m+s AG: weak demand during 4th quarter 00/01 / restructuring- and integrational costs have an impact on profits Niedernberg near Aschaffenburg, 25th April 2001. m + s AG, Information- and Communications provider listed on the Neue Markt in Frankfurt, expects a turnover of approx. DM 1,25 billion and amends the profit keyfigures. For the current financial year 00/01, which ends 30th april 2001, m + s expects a negative EBT of DM – 30,0 Mio. The EBITDA will be amended to DM – 13 Mio. Due to a current weak demand, the basis of the target set down in the nine month report will not be reached. The presumption is that the fourth quarter will conclude with an operational loss of DM 10 million. Furthermore the results will be impacted by goodwill depreciation, exceptional items amounting to DM 5 million. The current year end would in total result in an operational profit of approximately DM + 10 million. This positive operational result will be effected by DM – 19.0 million due to the restructuring of DRV (see ad hoc dated 27.12.00 ) as well as by – DM 11 million resulting in particular company write- offs. For the restructuring an amount of DM 10 million has been put aside. The m+s board does not forsee a significant improvement in market conditions before the end of 2001. In light of this, the board is undertaking deep rooted restructuring measures and is undertaking the advice of a renowned financial communications consultancy. Within this restructure, m+s will concentrate even more on its core businesses, and as stated by the group’s strategy paper, will increasingly focus the company’s efforts on the extension of the information and communication business units.
