mb Software erneuert Konzernstruktur

Hameln, den 19. April 2000 – Die mb Software-Gruppe strukturiert sich neu und
trägt damit dem rasanten Wachstum des vergangenen Jahres sowie der eingeleiteten
Entwicklung zu einem leistungsfähigen E-Business-Unternehmen Rechnung. Mit der
Neuordnung, die rückwirkend zum Beginn des neuen Geschäftsjahres am 1. April
2000 in Kraft tritt, treibt mb die Ausrichtung auf das Internetgeschäft und die
Integration der neuen Medien in die eigenen Kerntechnologien voran. Tragende
Säulen der zukunftsweisenden Konzernstruktur sind die vier Unternehmensbereiche,
die unter dem Dach der mb Software AG künftig das operative Geschäft wahrnehmen
werden. Die vier Bereichsleiter bilden gemeinsam mit dem AG-Vorstand die Kon-
zernführung, die die strategische Entwicklung der Gruppe konzipiert und voran-
bringt.
“Wir optimieren interne Geschäftsprozesse und administrative Aufgaben, bündeln
unser Entwicklungs-Know-how und nutzen damit Synergien noch besser als bisher”,
erläutert Vorstandsvorsitzender Bernhard Mursch die Neuordnung. “Damit steigern
wir unsere Effizienz und schaffen erhebliche Wachstumspotenziale”. Nach Erwar-
tung von Mursch wird allein die Tatsache zu weiterem Umsatzwachstum beitragen,
dass sich die Tochterunternehmen künftig voll und ganz auf das operative
Geschäft konzentrieren können und von anderen Aufgaben entlastet werden.
Die vier neuen Unternehmensbereiche, zu denen insgesamt 19 Tochtergesellschaften
und Beteiligungen mit z. Zt. über 600 Mitarbeitern gehören, sind wie folgt ge-
gliedert:
Architektur, AVA, Facility Management
Dieser Unternehmensbereich konzentriert sich auf Softwarelösungen und Dienst-
leistungen für Architektur und die Gebäudebewirtschaftung. Die objektorientierte
Programmierung erlaubt innovatives computerunterstütztes Zeichnen, Entwerfen,
dreidimensionales Modellieren und Präsentieren. Ziel ist die Entwicklung einer
internetbasierenden neuen CAD-Plattform, die es gestattet, bauspezifische
Objekte unter den verschiedenen Aspekten der Gebäudeplanung zu bearbeiten.
Engineering, Construction
Die Schaffung von Synergiepotentialen der mb Software Gruppe in den Bereichen
Planung, Konstruktion und Fertigung ist der Schwerpunkt des zweiten Bereiches.
Konstruktions- und Berechnungssoftware für den Hoch- und Tiefbau, einschließlich
Finite-Elemente-Lösungen mit international bedeutendem Know-how, z.B. für die
Erdbebensicherheit, gewährleisten ein effektives Computer Aided Engineering.
Internet Business, Internet-Technologie
In diesem dynamisch wachsenden Segment wird die Erschließung neuer B2B- und
B2C-Märkte vorangetrieben. Kernelement ist hier die O2C-Technologie zur drei-
dimensionalen Präsentation animierter Objekte im Internet. Das zukunftsträchtige
und ertragsstarke Feld des Application Service Providing, das Vermieten von An-
wendungen und Funktionalitäten über das Internet, soll als neues Leistungsange-
bot zu Umsatzwachstum beitragen. Die Schaffung bauspezifischer Echtzeitplatt-
formen sowohl für den Business- als auch für den Consumer-Bereich sind weitere
Neuerungen.
Strategische Beteiligungen
Hier werden strategisch wichtige Firmenbeteiligungen außerhalb der 3 Kernbe-
reiche, die z.B. für den Technologietransfer bedeutend sind, zusammengefasst und
die geplanten Börsengänge von Tochterunternehmen und Beteiligungen betreut.

– More Efficiency and new Growth Potential through four new Business Sectors
Hamlin 19th April, 2000 – Responding to the rapid growth of the past year and
the already initiated development towards an efficient E-Business-Enterprise,
the mb Software-Group is given a new structure. With this reorganization, having
taken effect with the beginning of the new fiscal year on April 1, 2000, mb
is forging ahead with focussing on the Internet Business on the one hand, and
the integration of the new media into their own core technologies on the other.
Supporting this future-oriented structure of the consolidated company are the
four new business sectors which are going to handle the operative business
under the umbrella of the mb Software AG. The four managers of these sectors,
together with the board of directors, form the management of the concern,
developing and advancing the strategic development of the group.
“By optimizing internal business processes and administrative tasks, as well as
by bundling our development know-how, we will be in a position to utilize
synergies even better than before”, Chairman Bernhard Mursch explains the
reorganization. “In this way, we are going to improve our efficiency and create
substantial potential for growth”. In Mursch’s estimation, the fact alone that
the affiliated companies will be relieved of other tasks and can now fully
concentrate on the operative business, will contribute to further growth. The
four new business sectors, comprising a total of 19 subsidiaries and affiliates
with currently over 600 employees, are ordered as follows:
Architecture, AVA, Facility Management
This business sector concentrates on software solutions and services for
architecture and facility management. The object-oriented programming allows
innovative, computer-aided drawing, drafting, three-dimensional modeling and
presentation. The development of an internet-based new CAD-platform is aimed for
under which construction-related objects can be edited under diverse aspects of
construction planning.
Engineering, Construction
Creating synergy potential within the mb Software Group in the areas of
planning, construction, and manufacture, form the focus of the second business
sector. Construction and calculation software for construction and civil
engineering, including finite element solutions with know-how of international
importance, e.g. earthquake security, stands for effective Computer Aided
Engineering.
Internet Business, Internet-Technology
In this dynamically growing segment, the opening of new B2B- and B2C-markets is
promoted. The core element here is the O2C-technology for the three-dimensional
presentation of animated objects in the Internet. The future potential and the
earning power of the Application Service Providing field – leasing applications
and functionalities over the Internet – will be a new service offered,
contributing to the growth of business. Creating building-specific real-time
platforms for the business and consumer sectors are other new activities.
Strategic Participations
The coordination and management of strategically important financial
participations, outside the 3 core areas, important to technology transfer,
etc., including the Going Public of affiliated companies, are carried out here.
