Primacom AG legt den Kurs für das Barabfindungsangebot an die
Aktionäre und die Einholung der Zustimmungserklärung für Notes der
KabelMedia Holdings GmbH fest
MAINZ, DEUTSCHLAND, 24. März 1999 – Primacom AG (Neuer Markt: WKN
625910 / NASDAQ: PCAG), eine deutsche Aktiengesellschaft (“PCAG” oder
die “Gesellschaft”) (ehemals KabelMedia Holdings AG und KabelMedia
Holding GmbH) gab heute bekannt, daß sie den Kurs für ihr
Barabfindungsangebot und für Zustimmungserklärung betreffend der noch
ausstehenden, am 1. August 2006 fälligen, 13-5/8%igen vorrangigen
Schuldverschreibungen (die “Notes”) von KabelMedia Holding GmbH
festgelegt hat.
Der zu entrichtende Kaufpreis für jeweils rechtskräftig
eingereichte Notes beträgt $ 861,87 (die “Barabfindungszahlung”) pro
$ 1.000 des Nennwertes bei Fälligkeit der Notes. Die gesamte
Barabfindungszahlung (die “Gesamtbarabfindungszahlung”) umfaßt die
Barabfindungszahlung zuzüglich einer Zahlung für die
Zustimmungserklärung in Höhe von $ 20,00 pro $ 1.000 des Nennwertes
bei Fälligkeit der Notes (die “Zustimmungszahlung”) für die
Gesamtsumme von $ 881,87 pro $ 1.000 des Nennwertes bei Fälligkeit der
Notes.
Der Barabfindungszahlung liegt ein Durchschnittspreis zugrunde,
der zu ca. 61% auf einer festen Preisspanne (die “feste Preisspanne”)
basiert und zu ca. 39% auf dem Rückkaufskurs (der “Kapital-
Rückholpreis, zu dem die Gesellschaft die Notes nach Durchführung
ihres ersten öffentlichen Angebotes von Stammaktien ablösen könnte.
Der festgelegte Preis beträgt $ 928,30 pro $ 1.000 des Nennwertes bei
Fälligkeit der Notes und wurde am 23. März 1999, 14:00 Uhr, fixiert
unter Berücksichtigung einer Fest-Marge von 100 Basispunkten über der
Rendite über der für die Restlaufzeit der 6 5/8%igen Treasury Notes
mit Fälligkeit 31. Juli 2001. Der Kapital-Rückholpreis beträgt
$ 808,85 pro $ 1.000 Nennbetrag bei Fälligkeit der Notes (110% des
kalkulatorischen (Buch-) Wertes pro $ 1.000 des Nennwertes bei
Fälligkeit der Notes am 30. März 1999 (der “Zahlungstag”), errechnet
gemäß den Bestimmungen des Anleihevertrages).
Gemäß Mitteilung der Gesellschaft wurden ihr bis zum
Geschäftsschluß am 23. März 1999 $ 171.770.000 des per Fälligkeitstag
im Umlauf befindlichen Gesamtnennbetrags in Höhe von $ 174.700.000
angeboten.
Das Barabfindungsangebot wird am 25. März 1999 um 24:00 Uhr,
Ortszeit New York, ablaufen, sofern es nicht beendet oder verlängert
wird. Inhaber von Notes, die ihre Notes zu diesem bzw. vor diesem
Zeitpunkt rechtskräftig einreichen, werden die Barabfindungszahlung
erhalten.
Nur solche Inhaber von Notes, die den vorgetragenen Änderungen
bis zum 12. März 1999 um 24:00 Uhr Ortszeit New York, bzw. vor diesem
Zeitpunkt, rechtsverbindlich ihre Zustimmung erteilt haben, (und diese
Zustimmung auch nicht widerrufen haben), werden die Zustimmungszahlung
erhalten.

Am 22. März 1999 gab die Gesellschaft in Verbindung mit ihrem
Börsengang separat eine Anleihekündigung für sämtliche Notes aus, die
nicht im Barabfindungsangebot beinhaltet sind. Den Inhabern von Notes,
die gemäß den Bestimmungen der Anleihekündigung aufgelöst werden,
erhalten einen Rückkaufskurs in Höhe von $ 815,14 (entspricht 110% des
kalkulatorischen (Buch-) Wertes pro $ 1.000 des Nennbetrags bei
Fälligkeit der Notes am 21. April 1999, errechnet gemäß den
Bestimmungen des Anleihevertrags). Dieser Rückkaufskurs ist bedeutend
niedriger als die Barabfindungszahlung.
PrimaCom AG Prices Cash Tender Offer and Consent Solicitation for
KabelMedia Holding GmbH Notes
MAINZ, GERMANY, March 24, 1999 – PrimaCom AG (NASDAQ: PCAG / Neuer
Markt: WKN 625910), a German joint stock corporation (“PCAG” or the
“Company”)(formerly known as KabelMedia Holdings AG and KabelMedia
Holding GmbH) today announced that it has determined the price on its
cash tender offer and consent solicitation relating to the outstanding
13-5/8% Senior Discount Notes due August 1, 2006 issued by KabelMedia
Holding GmbH (the “Notes”).
The purchase price to be paid for each validly tendered Note is
$861.87 (the “Tender Offer Consideration”) per $1,000 in principal
amount at maturity of Notes. The total tender offer consideration (the
“Total Consideration”) is the Tender Offer Consideration plus a
consent payment of $20.00 per $1,000 in principal amount at maturity of
Notes (the “Consent Payment”) for a total of $881.87 per $l,000 in
principal amount at maturity of Notes.
The Tender Offer Consideration is a blended price, approximately 61%
of which is based on a fixed spread price (the “Fixed Spread Price”)
and approximately 39% of which is based on the redemption price at
which the Company could redeem the Notes upon completion of its
initial public offering of common stock (the “Equity Claw-back
Price”). The Fixed Spread Price is $928.30 per $1,000 principal
amount at maturity of Notes, and was determined by reference to a
fixed spread of 100 basis points over the yield to maturity of the
6-5/8% U.S. Treasury note due July 31, 2001, as of 2:00 p.m. on March
23, 1999. The Equity Claw-back Price is $808.85 per $1,000 principal
amount at maturity of Notes (110% of the accreted value per $1,000
principal amount at maturity of Notes on March 30, 1999 (the “Payment-
Date”) calculated pursuant to the indenture).
The Company said that $171,770,000 of the $174,700,000 aggregate
principal amount at maturity outstanding has been tendered as of the
close of business on March 23, 1999.
The tender offer will expire at midnight, New York City time, on
March 25, 1999, unless terminated or extended. Note bolders who
validly tender their Notes at or prior to such time will receive the
Tender Offer Consideration.
Only those Note holders who validly consented (and did not revoke
such consent) to the proposed amendments to the indenture at or prior
to midnight, New York City time, on March 12, 1999 will receive the
Consent Payment.

Separately, on March 22, 1999, in connection with its initial
public offering, the Company issued a notice of redemption for any
Notes not tendered in the tender offer. Holders of Notes redeemed
pursuant to the redemption will receive a redemption price of $815.14
(equal to 110% of the accreted value per $1,000 principal amount at
maturity of the Notes on April 21, 1999 calculated pursuant to the
indenture). Such redemption price will be significantly lower than the
Tender Offer Consideration.
