Andlinger Group acquires VA TECH VOEST MCE
New company name: MCE VOEST
Minority stake for VA TECH
Andlinger Group Anlagenbau Holding GmbH has acquired
an 80.1% stake in VA TECH VOEST MCE group (MCE GmbH &
Co and subsidiaries) from VA Technologie AG (VA
TECH), which will continue to hold 19.9%. The
purchasing agreement was signed today, March 9, 2001.
Subject to approval by VA TECHs Supervisory Board in
its meeting on March 21, 2001, and by anti-trust
authorities the acquisition will become effective
retroactively to January 1, 2001. TMS (VA TECH
Transport- und Montagesysteme GmbH & Co), a producer
of transport and assembly systems, is not part of the
deal and will remain in the VA TECH group.
As a result of the change of ownership, the group
will change its name from VA TECH VOEST MCE to “MCE
VOEST”.
In its new structure, the MCE VOEST group will be a
specialised supplier of industrial and infrastructure
projects – with core competencies in plant
engineering, steel and steel/glass construction,
manufacture of mechanical components and industrial
services, especially all full service maintenance
packages for industrial clients, as well as personnel
services.
“We offer a combination of plant engineering and
industrial services and can therefore assist our
clients in optimising total costs throughout the
complete life cycle of their plants,” says Hermann
Lutzenberger, chairman of the managing board of MCE
VOEST.
In 2000, MCE VOEST (excluding TMS) employed a
workforce of over 4,000 and reported sales of approx.
ATS 6.6bn.
The operations of MCE VOEST will not be affected by
the change in ownership. The managing board,
consisting of Hermann Lutzenberger (chairman) and
Reinhard Wödlinger, as well as all executives and
employees will be taken over by the new owners
without change. Ernst Reichmayr, partner in Andlinger
& Company, will join the managing board once the
acquisition becomes effective.
Existing business relations between MCE VOEST and its
traditional clients and partners, in particular the
VA TECH companies, will continue unchanged.

strategy of concentrating on the core business areas
also into the area of Industrial Services.”
Andlinger Group Anlagenbau Holding, the new majority
stakeholder in MCE VOEST, also owns 100% in MAB
Anlagenbau Austria GmbH, a company active in the area
of technical solutions for buildings, industry and
energy, thereby complementing MCE VOESTs portfolio.

integrated industrial services on the European
market.”
The future strategy and positioning of the MCE VOEST
group will be presented to the press on March 29,
2001, at a press conference on the business year
2000.
