Changes to Executive Board and Supervisory Board

Deputy Chairman of Executive Board Dr. Wolf Klinz to transfer to Supervisory
Board / Andreas Helwig to concentrate on tasks as Executive Director in North
American sector / Prof. Christoph Ehrhardt strengthens Executive Board with
power of attorney / Rolf Gottschalk to succeed Dr. Reinhard Volk in Supervisory
Board.
Dr. Wolf Klinz (61), Deputy Chairman of the AGIV Real Estate AG Executive Board
(stellvertretender Vorstandsvorsitzender), is to withdraw from the Executive
Board and will join the Supervisory Board of AGIV. He thus succeeds Dr.
Alexander Erdland, who has requested to be released from his supervisory board
mandate due to newly acquired additional responsibilities in similar fields of
business. Rolf Gottschalk, Managing Director (Geschäftsführer) of the EnBW
Service GmbH is appointed to the Supervisory Board to replace Dr. Reinhard Volk
former Chief Financial Officer (Finanzvorstand) of Energie Baden-Württemberg AG.
Following conclusion of the merger of HBAG Real Estate AG and AGIV Real Estate
AG, Andreas Helwig retired from the Executive Board (Vorstand) with effect from
31 January 2003. Mr. Helwig will concentrate in future on his tasks as Board
(Vorstand) of Transatlantica Real Estate AG which is responsible for the Group’s
North American operations. His responsibility as Chief Financial Officer will
temporarily be assigned to Christian Bock in addition to his responsibility for
legal affairs and personnel.
In future, the Executive Board’s management operations will be supported by
Busso von Alvensleben who will receive power of attorney
(Generalbevollmächtigung). In addition to his current mandate as member of the
Deutsche Real Estate AG Executive Board he is to take on responsibility for the
property sector (acquisition and sale, leasing, asset management and property
management). Within the framework of a consultancy mandate Prof. Christoph
Ehrhardt, partner at Ernst & Young, is to take over responsibility for the areas
of organisation, project development, project management and information
technology also with power of attorney
