Act (WpHG) - November 9, 2011:

Report of Comarch Software und Beratung AG as at September 30, 2011:
* Group revenues of 21.3 million euro (previous year: 26.6)
* EBITDA -2.6 million euro (previous year:  -1.7)
* Measures to strengthen the equity capital

In the first nine months of 2011, Comarch Software und Beratung AG (ISIN:
DE000A1KRMR8 and DE000A1KRMU2), a subsidiary of the Krakow-based
international IT group Comarch S.A., maintained its high level of
investments in software development. With an average sales cycle of about
nine months for ERP software, the product innovations brought to market in
spring have not yet been reflected in software sales and the associated
consulting revenues. Total group revenues came to 21.3 million euro in the
first nine months of 2011 (previous year: 26.6).

The business unit standard software - licensing and service fees for
standard software products - achieved sales of 10.9 million euro in the
first nine months of 2011 (previous year: 12.6). In the third quarter of
2011, software revenues were 3.4 million euro (Q3/2010: 4.0).

The business unit consulting - consulting and programming services for the
implementation and support of standard software - achieved revenues of 7.4
million euros (previous year: 8.8). Besides a lower quantity of new sales
of the ERP software, this decline is explained by the completion of a major
project in 2010. In the third quarter of 2011, consulting revenues were 2.2
million euro (Q3/2010: 2.9).

Sales revenues for the business unit system integration - IT infrastructure
hardware and services - came in at 3.0 million euro (previous year: 5.2).
This business unit supplies server and storage systems, network
technologies, security and high availability solutions, virtualization
solutions and data center services. In the third quarter of 2011, system
integration sales were 1.0 million euro (Q3/2010: 1.5).

In the first nine months of 2011, Comarch Software und Beratung AG posted
an operating result before interest, taxes, depreciation and amortisation
(EBITDA) of -2.6 million euro (previous year -1.7). The operating result
(EBIT) was -5.2 million euro (previous year: -3.6). The result from normal
business activities (EBT) for the first nine months was also -5.2 million
euro (previous year -3.6); the result after taxes was -5.2 million euro
(previous year -3.6). These results reflect the continuing high investment
in product development. Thereof only a small part of 1.4 million euro
(previous year 1.4) was capitalized under IFRS. The result includes
goodwill amortization of 0.5 million euro and special operational
expenditure of 1.0 million euro.

The Management Board of Comarch Software und Beratung AG is anticipating
revenues for the financial year 2011 to be clearly below those of 2010 with
a loss slightly below last year's level.

In line with the resolutions of the general meeting held on June 8, 2011
the capital stock of the company was reduced from 6,480,000.00 euro to
2,160,000.00 euro and early in September 2011 the capital was increased by
4,053,072.00 euro (4,053,072 shares) at 1.70 euro per share.
