Comarch Software und Beratung AG, Munich, (ISIN: DE0007249104 and
DE000A0DM546) hereby announces that the reduction in the company's capital
stock from EUR 6,480,000.00 to EUR 2,160,000.00, agreed at the general
meeting on June 8 2011, was entered on July 26, 2011 in the companies
register and is thereby effective. Simultaneously, by entering the
companies register, § 4 (volume and classification of capital stock)
sections 1 and 2 of the Articles of Incorporation of Comarch Software und
Beratung AG have been amended accordingly to the capital reduction
decision.

More detailed information on the process of merging shares in the ratio 3:1
according to the reduction of the capital stock, also especially on the
adjustment of fractional shares, the commencement of trade and quotation of
the converted shares, incl. their new WKN/ISIN (German and International
Securities ID Numbers), will be published in the electronic version of the
German Federal Gazette in the coming days by an official announcement
regarding the reduction of capital stock.
