Lambda Physik reaches settlement with plaintiffs

The issuer is solely responsible for the content of this announcement. ——————————————————————————– Göttingen, November 03, 2004 — Subject to the approval by the Göttingen District Court at which the lawsuits against the validity of the squeeze-out resolution of the shareholders’ meeting of 5th May 2004 are pending, Lambda Physik AG (SIN 549 427) has, under participation of Coherent Holding GmbH which holds more than 95 % of the stated equity capital Lambda Physik AG, agreed on a settlement with the plaintiffs of the said complaints. The settlement provides that Coherent Holding GmbH shall increase the money payment for all such shareholders excluded by the squeeze-out resolution from Lambda Physik AG from € 10.02 to € 14.80 who waive their right to initiate a court proceeding to review the valuation of the shares of Lambda Physik AG on which the squeeze-out resolution is based and to transfer to Coherent Holding GmbH any eventual claims they might have against this company in the event of a valuation review proceeding being conducted.
