Implementation of Capital Increase 
 
PROUT Aktiengesellschaft, Röntgenstraße 3, 64291 Darmstadt, ISIN: A0BVXK 
 
PROUT AG, a turnaround investment company listed on the General Standard of 
the Frankfurt Stock Exchange has implemented an increase of the share 
capital by € 770.581 to € 2.950.581 by means of an issue of an aggregate of 
770.581 bearer shares with no par value at an issue price of € 1.50 per 
share with a calculative amount of € 1 of the issued share capital. 
 
The share issue was based on the resolution of the ordinary shareholders` 
meeting as at October 26, 2006 and the board resolution dated February 16, 
2007 based on such resolution. The shares were offered to existing 
shareholders and in a subsequent private placement. 
 
The funds raised amounting to Euro 1.155.871,50 thereby are intended to 
enable PROUT AG to further invest in Hudson Bike Group as well as to make 
investments in companies going through a corporate restructuring or in 
turnaround situations.
