Implementation of Capital Increase of Authorized Capital

PROUT Aktiengesellschaft, Röntgenstraße 3, 64291 Darmstadt, ISIN: A0BVXK

PROUT AG, a turnaround investment company listed on the General Standard of
the Frankfurt Stock Exchange has implemented an increase of the share
capital by € 289.419 to € 3.240.000 by partially making use of the existing
authorized capital, following a resolution of the management board dated
July 11, 2007 approved by the supervisory board on July 12, 2007.

PROUT AG will issue an aggregate of 289.419 bearer shares with no par value
at an issue price of € 1.50 per share with a calculative amount of € 1 of
the issued share capital subscribed to in the course of a private
placement.

The funds raised thereby are intended to enable PROUT AG to further invest
in companies in the business of 'Power Assisted Bikes' as well as to make
investments in companies going through a corporate re-structuring or in
turnaround situations.
