Cologne, 11/27/2001. VIVA Media AG has completed the expansion steps announced
for 2001. The VIVA Group alone will start earning significant profits beginning
in 2002 – 1.5 years earlier than predicted at the time of VIVA’s IPO.
Profitability will further increase in 2002 due to the companys acquisition of
BRAINPOOL TV. The exchange offer to BRAINPOOL shareholders has been launched
successfully (ratio: 2.14 BRAINPOOL shares for every new VIVA share). BRAINPOOL
shares can be exchanged until 12/7/2001, noon. It is expected to delist
BRAINPOOL from the Neuer Markt in 2002. Despite the slump in the TV advertising
market, the VIVA Group achieved sales of mEUR 44.15, representing a 12.5%
increase compared to the same period last year (9/30/2000: mEUR 39.25;
6/30/2001: mEUR 27.87). Sales rose to mEUR 16.3, an increase of 16.9% over the
3rd quarters of 2000 and 2001. Following its IPO in July 2000, VIVA achieved its
planned expansion objectives of entering the Polish, Swiss, Austrian,
Hungarian, and Italian markets. An negative EBITDA of mEUR -7.65 (9/30/2000:
mEUR 2.74) reflects both the buildup investments required in 2001, as well as
the costs of switching both German stations to the ASTRA satellite. VIVAdigital
will be completely written off as part of the joint venture with AOL Time
Warner, which is aimed at restructuring VIVA ZWEI into VIVA Plus Fernsehen GmbH.
The remaining goodwill of VIVAconnect will also be written off. These one-time
charges will result in an EBIT of mEUR -15.05 (9/30/2000: mEUR 1.57). Net losses
will amount to mEUR -10.46 (9/30/2000: mEUR -7.35), which corresponds to an EPS
of EUR -0.53 (9/30/2000: -0.37). 400 individuals work in full-time equivalent
positions (9/30/2000: total = 392).
On 9/30/2001, VIVA Media maintained a cash reserve of over mEUR 47. The joint
venture with AOL Time Warner will add another mEUR 30 to the VIVA Group’s
reserves. Following the Group’s 2002 addition of BRAINPOOL, VIVA anticipates
sales of over mEUR 125 and an EBIT of over mEUR 40 in 2002.
