The issuer is solely responsible for the content of this announcement. ——————————————————————————– No agreement on a common strategy with Eurocoin AG / Winter AG disappointed by the value of EuroCoin AG’s takeover bid Olching near Munich, 19 May 2003. The Management Board at Winter AG, leading producer of systems and chipcards, is disappointed with the value of the takeover bid announced by EuroCoin AG and finds it too low. In addition, the Management Board disclosed today that, in the past weeks, in talks held with EuroCoin, sensible strategic results were not in sight. Winter expected a clearly higher offer. Reference to the share price would have been reasonable. In a press release EuroCoin had named a takeover bid of Euro 1.74 per share. At the close of the last trading day before the publication of the release, Winter AG’s share price was Euro 2.20. Additionally, Winter AG has a very solid equity capital base at its disposal. This was Euro 20.4 million at the end of 2002, representing more than 50% of total assets. Based on the current level of equity capital, each share certificate (6.1 million shares) accounted for a price of Euro 3.34 each. Since the end of 2002, Winter AG’s management has initiated a strict course of restructuring. In this way around 60 jobs will be cut this year, in comparison to 2002. With a solid equity capital base at its disposal, Winter AG is optimistic that it will return to profitability at the start of 2004.
