Appointment of the new Supervisory Board
Winter AG: Munich court appoints new Supervisory Board in accordance with motion
filed by Board of Directors
Olching near Munich, 29 December 2003. The Munich County Court appointed the new
Supervisory Board to the Prime Standard-listed chip card manufacturer Winter
AG, with a resolution passed on 18 December 2003. The members of the new
Supervisory Board are Fernando Dal Zotto, a delegate from Trüb AG’s
administrative board, Jean-Pierre Bourquard, administrative board member of
Futuris SA, Glovelier, and Dr. Stephan Bieri, a member of Trüb AG’s
administrative board.
Thereby the court has fully complied with the motion that Winter AG’s Board of
Directors filed with the court on 17 December 2003.
Winter AG’s hitherto acting Supervisory Board had announced its resignation on
15 December 2003, after the Swiss company, Trüb AG obtained control of Winter AG
on 11 December 2003 due to its Share Purchase and Pooling contracts, and its
respective obligatory press release, published on 12 December 2003, in
accordance with § 35 WpÜG (Securities Takeover Law).
