Frankfurt / Munich, 27 April 2017 – Nidda Healthcare Holding AG, a holding company controlled by funds advised by Bain Capital Private Equity, LP (“Bain Capital”) and by Cinven Partners LLP (“Cinven”), today published the offer document for the voluntary public Takeover Offer (the “Takeover Offer”) of all outstanding shares of STADA Arzneimittel AG (“STADA” or the “Company”, ISIN: DE0007251803). Prior to its publication, the offer document was approved by the German Federal Financial Supervisory Authority BaFin in accordance with the German Securities Acquisition and Takeover Act (Wertpapiererwerbs- und Übernahmegesetz). Today’s publication of the offer document represents the start of the acceptance period and STADA shareholders can now accept the Takeover Offer by tendering their shares to Nidda Healthcare Holding AG. In order to tender their shares, STADA shareholders must issue a written or electronic declaration to their respective custodian bank. Further information can be found in the offer document. The acceptance period will end at midnight (CET) on 8 June 2017. The completion of the Takeover Offer will be, inter alia, subject to a minimum acceptance threshold of at least 75 percent of all STADA shares and certain customary conditions such as antitrust clearances. Bain Capital and Cinven’s Takeover Offer represents a cash consideration of EUR 65.28 per share plus the financial year 2016 dividend of EUR 0.72 per share for STADA shareholders, resulting in a total offer value of EUR 66.00 per share. The Takeover Offer represents an attractive premium of 48.9 percent above STADA’s closing share price on 9 December 2016, the last trading day prior to the first specific rumours about a potential takeover of the Company. The STADA Management and Supervisory Boards have both declared that they fully support the Takeover Offer and believe that the transaction is in the best interests of the Company, its shareholders, employees and other stakeholders. In addition, several equity analysts who cover and publish research on the Company have recommended that shareholders should accept the Takeover Offer.
