Hamburg, 11 February 2016. ADLER Real Estate AG, Frankfurt/M. (ISIN DE0005008007) has, through its subsidiary MountainPeak Trading Limited, requested the immediate convening of an Extraordinary General Meeting of shareholders of conwert Immobilien Invest SE, Vienna. Today, it was proposed to conwert that the Extraordinary General Meeting immediate deselects the current acting directors Barry Gilbertson, Peter Hohlbein and Dr. Alexander Proschofsky. Furthermore, the shareholders of conwert would like to elect Dr. Dirk Hoffmann, Prof. Dr. Hermann Anton Wagner and Wijnand P. Donkers to the Board. ADLER, through its acquisition of MountainPeak, currently holds shares of 22.37 per cent in conwert, making it the largest single shareholder in the company. “80 percent, by far largest part of conwert’s property assets, which consists of approximately 30,000 units in total, are located in Germany” says Axel Harloff, Member of the Board of ADLER Real Estate AG. “Therefore, the Board shall be staffed specifically by members who have excellent experience in the German real estate market and can make expert decisions about future investments in new property stock and on the planned sale of assets. We hope that through this change we can implement management objectives faster, which is in the interests of all shareholders,” continued Harloff. The new Board Members have extensive knowledge of the real estate business, the relevant financing and the German market. Dr. Hoffmann is long-term Chairman of the Supervisory Board of ADLER and Deputy Chairman of the Supervisory Board of the ADLER Real Estate AG subsidiary, Accentro Real Estate AG, a leading residential property privatisation company in Germany. During his distinguished career, Dr. Hoffmann has belonged to multiple boards of German banks, including the Deutsche Hypothekenbank Berlin/Hannover, the Berlin Hyp AG, the Allgemeine Hypothekenbank Rheinboden AG and the Düsseldorfer Hypothekenbank AG. Wijnand Donkers was CEO of Deutsche Annington SE (now Vonovia AG) from 2007 to 2012 which is by far the largest German residential real estate company and since last year was listed on the German stock index (DAX). Prof. Wagner is a recognized auditor and tax consultant, holds his professorship at the Frankfurt School of Finance and Management and was a partner at the leading consulting firms of Arthur Andersen and Ernst & Young. He is, amongst other things, Member of the Supervisory Board and Chairman of the Audit Committee of Aareal Bank AG.
