“We successfully convinced a large number of leading institutional investors of the attractiveness of the Metro share, thus increasing its free float substantially. We believe that the tradability of the share will benefit from it”, says Haniel CEO Stephan Gemkow. “With these transactions, we take a further step to balancing our portfolio and thus to get a greater entrepreneurial leeway.” Post the share placement, Haniel as the largest shareholder will continue to accompany the positive transformation process of METRO AG and participate in the company’s success. The Bond has a maturity of five years and will be issued by Haniel Finance Deutschland GmbH, wholly owned by Haniel, and will not bear any interest. The Bond will be issued at 102.75 per cent of par, corresponding to a yield to maturity of -0.54 per cent, and will be exchangeable into Metro ordinary shares at an initial exchange price of EUR 41.6069. The exchange price represents a 37 per cent premium to the equity offering price of EUR 30.37 per share. Underlying the Bond are approx. 12.02 million Metro shares or approx. 4 per cent of the share capital. Should the Bond be exchanged, and subject to customary adjustments, Haniel’s holding in Metro would decrease to round about 21 per cent of the outstanding ordinary shares. Unless previously exchanged, redeemed or purchased and cancelled, the Bond will be redeemed at par at maturity, subject to the issuer’s option to deliver Metro shares and an additional cash amount. Haniel commits to a lock-up period of six months following the settlement of the transactions. Settlements for the share placement is expected to take place on May 11, 2015 and for the Bond offering is expected to take place on May 12, 2015. An application will be made for the Bond to be admitted to trading on the Open Market segment (Freiverkehr) of the Frankfurt Stock Exchange within two weeks after the settlement of the Bond. Société Générale Corporate & Investment Banking acted as Sole Bookrunner in both transactions.
