ISARIA Wohnbau AG successfully executes capital increase and announces time-table for delisting

19 August 2016 – ISARIA Wohnbau AG (“ISARIA”) has successfully executed a capital increase through the issue of 11,882,000 new shares with a subscription price of EUR 4.50 per new share. LSREF4 ARIA Beteiligungs GmbH & Co. KG (“LSREF4”), an affiliate of Lone Star Real Estate Fund IV (U.S.), L.P. and Lone Star Real Estate Fund IV (Bermuda), L.P., took up all new shares for which the subscription rights were not exercised. The capital increase will become effective presumably on 22nd August 2016 upon registration with the commercial register. The proceeds from the capital increase, amounting to approximately EUR 53 million, will be used for the financing and realisation of already acquired development properties, the strengthening of the equity base of already existing development projects as well as the funding of the company’s planned growth through acquisition and development of further development properties.

Moreover, ISARIA today has applied for the withdrawal of the admission of the ISARIA shares for trading on the regulated market of the Frankfurt stock exchange (“Delisting”) based on the offering document related to the voluntary public takeover offer and the compensation offer by LSREF4 published on 28 July 2016. ISARIA expects the Delisting to become effective on 30 August 2016 by the end of the day.
