The sender is solely responsible for the contents of this announcement. ——————————————————————————– – Founder and CEO Dr. Dirk Basting resigns as planned after successful completion of the tender offer by Coherent – Supervisory Board appoints Coherent CEO Dr. John Ambroseo as CEO of Lambda Physik AG Göttingen, August 5, 2003 – After the successful completion of the tender offer by Coherent to the shareholders of Lambda Physik AG (ISIN DE 005 494 272) CEO Dr. Dirk Basting has resigned as planned, effective as of July 31, 2003. As of August 1, 2003 the Supervisory Board has appointed Dr. John Ambroseo, President and CEO of Coherent, Inc. (Nasdaq: COHR), CEO of Lambda Physik AG. The Management Board and Supervisory Board thank Mr. Basting for his commitment and dedication during more than 30 years of leadership at Lambda Physik. He will support the company in an advisory position in the future. After the successful completion of the tender offer Coherent holds 93.95 percent of all Lambda Physik shares. As announced at the beginning of the offer, Mr. Basting has resigned from the office as President and CEO. Dr. Bernard Couillaud, Chairman of the Supervisory Board of Lambda Physik, thanked Dr. Basting for his dedication and commitment during more than 30 years of leadership at Lambda Physik. “Since he had founded the company in 1971, Dirk Basting has led Lambda Physik to become one of the world’s leading manufacturers of pulsed UV lasers. He drove the early internationalisation of the company and focused the business on the target markets Asia and U.S.,” added Bernard Couillaud. Currently almost 70 percent of sales are achieved outside of Europe. The achievements of Mr. Basting were honored by numerous awards. He was awarded the Innovation Award of the German President as well as the Innovation Award of German Industry. Mr. Basting is member of the Management Board of the Research and Technology Committee and US Committee of the German Industry Association (BDI). Furthermore he is a jury member for the Future Award of Technology and Innovation of the German President. Mr. Basting will support Lambda Physik in an advisory function in the future. Dr. John Ambroseo joined Coherent in August 1988. Since June 2001, he served in the role of Executive Vice President and Chief Operating Officer until becoming President and Chief Executive Officer in October 2002. During his 15-year tenure at Coherent, he held various positions in domestic and international operations, marketing, and sales. He is currently the President of LEOMA (Laser Electro-Optics Manufacturers Association) and is a trustee with the Purchase College Foundation. Mr. Ambroseo received his PhD in Chemistry from the University of Pennsylvania and his Bachelor’s degree from the State University of New York College at Purchase. Mr. Ambroseo stated, “The completion of the tender will allow us to maximize the synergies of the combined companies by leveraging our technology portfolio, management expertise, and service organizations to optimize performance. Excimer laser technology remains unique in its ability to produce large quantities of ultraviolet light. This capability is a key enabler for the semiconductor lithography and TFT markets.
