DGAP-News: myfactory Holding GmbH / Key word(s): Mergers & Acquisitions myfactory Press Release M&A with myfactory Munich / Sankt Gallen, 11 May 2016 – On 11 March 2016 (closing) the companies myfactory, as the manufacturer of the modern web-based cloud ERP software, seated in Munich, (in the following manufacturer) merged with the Swiss myfactory Landesdistributor with its seat in Sankt Gallen. The business partners were informed about the transaction in April 2016. In the course of this merger transaction beginning in August 2015 – 78% of the shares of the Munich manufacturer as well as 100% of the shares of the distributor were incorporated in the newly founded myfactory Holding AG (in the following Holding) being seated in St. Gallen and showing a considerable share capital. The development of the myfactory solution remains in the hands of Marco Gerlach in Munich. Cloud ready ERP software currently conquers the market at incredible speed and growth rates ranging in the higher two-digit percentage area. The thus bundled resources and the expertise of both companies shall serve to support these high growth rates in the best possible way. David Lauchenauer (Board of Directors, Manager and Delegate with sole representation power of the Swiss Holding together with his long-term business partner Markus Brunner representing the 78 % share volume at the Munich manufacturer) is very pleased about the successful transaction: “Since 2006, we have been convinced of the cloud technology for ERP systems – thus an excellent market penetration has been achieved with myfactory products in Switzerland. Currently, we see also in other markets of the DACH region an increasing interest in modern web-based ERP products – and we would like to proactively support this growth with our long-term experience.” Dr. Robert Meyer (Managing Director of the Munich manufacturer) is convinced: “Together we are even stronger. Many competitors intend to enter the Cloud ERP market for demanding solutions made by medium sized companies, however, they face some years of programming work ahead. Our products have matured in many long-term customer projects. We may now concentrate together on the latest customer requirements (e.g. Embedded Analytics, Smart Production, Internet of Things, web-based business models and similar projects) and may achieve a broader user base through Marketing and sales support of our distribution partners.” Wolfgang Stürzer (HFK Solicitors LLP – Munich Office) comments the merger as follows: “This is a complex transaction that has only been successfully completed on the basis of excellent team work of all consultants involved. All participating law offices and consultants consider this bundling of know how and capital as an initial impulse for myfactory and as such for an excellent ERP product.”
