29 June 2023 – Silver Lake, the global leader in technology investing, together with Mosel Bidco SE, a holding company controlled by funds managed or advised by Silver Lake (“Silver Lake”), announced today that, based on preliminary results of tenders during the Initial Acceptance Period, it has secured more than 63% of shares, and hence a majority, in Software AG as of 29 June 2023. This excludes Silver Lake’s convertible bonds which could convert into 10% of total current share capital. Silver Lake expects to publish the final results announcement for the Initial Acceptance Period on 3 July 2023. The Additional Acceptance Period for Software AG shareholders to tender their shares at the €32.00 offer price per share will commence the day following the final results announcement for the Initial Acceptance Period, which is expected to be issued on 3 July 2023. Assuming publication on 3 July, the Additional Acceptance Period would run from 4 July until 17 July 2023. Should shareholders not tender, there is no guarantee that they will be able to achieve such an attractive price, which is above the current share price, or be able to sell their shares given the limited liquidity and trading volumes in Software AG shares. Silver Lake reiterates that it does not require a domination and profit and loss transfer agreement (DPLTA) to finance its offer or achieve its economic and strategic objectives. Silver Lake hence does not intend to implement a DPTLA. After closing of the voluntary tender offer, Silver Lake intends to as soon as practically possible pursue a delisting of Software AG to support management with implementation of its strategy in a non-listed environment, and with the long-term backing of Silver Lake as Software AG’s new majority shareholder.
