Announcement regarding the fulfillment and waiver of Offer Conditions

On 25 August 2008, TDK Germany GmbH, Düsseldorf, Federal Republic of
Germany (the 'Bidder'), has published the Offer Document for the voluntary
public takeover offer addressed to the shareholders of EPCOS AG, Munich,
Federal Republic of Germany ('EPCOS'), regarding the acquisition of their
non-par value common registered shares (ISIN: DE0005128003) ('EPCOS
Shares). On 22 September 2008 the Bidder has published an amendment to the
Offer (the 'Amendment') within the meaning of sec. 21 German Takeover Law
(Wertpapiererwerbs- und Übernahmegesetz – WpÜG). The Offer Document and the
Amendment are available on the internet under www.tdk-germany-gmbh.com. The
acceptance period ends on 7 October 2008, 24:00 h (Local Time at Frankfurt
am Main, Federal Republic of Germany), of not extended according to the
provisions of the WpÜG.
Bidder hereby announces pursuant to sec. 4.4 of the Offer Document that all
Offer Conditions now have been either fulfilled or effectively waived.
Thus, the Offer will be implemented.
